These terms are the agreement between you and nomarz LLC for this website and our audit, build and operation services.
Who these terms are with
nomarz LLC (registered in Japan as nomarz合同会社, registration no. 0111-03-012134) provides this website and the services below under the NomarzLLC name, including Orrery. “We” and “us” mean that company. “You” means you and the business you represent. By using the site or buying a service you accept these terms.
This website
The site is for information and for contacting us. Use it lawfully, do not try to disrupt or probe it, and do not send us content you have no right to share. We try to keep the information accurate, but it is provided as is and may change without notice.
Services
We offer a free audit, a Free Build for applicants we select, and paid build and ongoing operation of AI agents for your business. The free audit is a conversation about your business with no obligation to buy.
Free Build places are limited and we decide who is accepted. Applying does not create a right to a build.
For any paid work, we agree a written proposal or order with you. It sets the scope, deliverables, schedule and what you need to provide. If it conflicts with these terms, the proposal wins for that project.
Fees and payment
After the free audit we quote either a setup fee plus a monthly plan, or a fixed price. Prices, taxes, invoicing and payment dates are stated in your proposal. Third-party subscriptions and usage costs, such as cloud or AI model fees, are paid directly to those providers unless the proposal says otherwise.
Guarantee
If the system does not help within 20 days of go-live, you get your money back. The conditions are in the guarantee terms.
Approvals and responsibility
Our agents work inside approval steps that we set up with you. Actions you approve, or that you ask us to let an agent take without approval, are your responsibility. We keep logs of what agents do so you can review them.
AI output can be wrong. Review what matters before you rely on it, and tell us promptly about problems so we can fix them.
You are responsible for the information and system access you give us, and for having the right to share them.
Your data and what we build
You keep ownership of your data and content. We use them only to deliver your service, as described in our privacy policy. Who owns or may use the systems we build is set out in your proposal.
Liability
To the extent the law allows, we are not liable for indirect or consequential loss, lost profit or lost data, and our total liability for a service is limited to the fees you paid us for it in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law, including for our intentional misconduct or gross negligence.
Ending the agreement
You can stop an ongoing service by giving the notice stated in your proposal. We may suspend or end a service if you breach these terms or do not pay, or if the law requires it. When a service ends we return or delete your data as described in the privacy policy and your proposal.
Changes to these terms
We may update these terms. The date at the top shows the latest version. A change does not alter a signed proposal for work already agreed.
Governing law
These terms are governed by the laws of Japan. The courts of Japan with competent jurisdiction handle any dispute.
